By accessing and using Nuggzy ("the Service"), whether through our website (nuggzy.com), iOS application (available on the Apple App Store), or Android application (available on the Google Play Store), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Service.
Nuggzy is a platform that allows users to create, organize, and share video content segments ("Nuggets") from YouTube videos. The Service is available on:

You must create an account to access certain features. You agree to:
You must be at least 13 years of age (or 16 in the European Economic Area) to use the Service. By using the Service, you represent that you meet this age requirement.
We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion.
Nuggzy offers subscription plans at $2.99/month ("Pro"). Subscription fees are billed in advance on a monthly basis.

If you purchase a subscription through the iOS app:
Apple App Store purchases are subject to Apple's Terms of Service.
If you purchase a subscription through the Android app:
Google Play purchases are subject to Google Play's Terms of Service.
Pro subscribers receive monthly AI credits. Additional credits may be purchased and never expire. Credits are non-refundable and non-transferable.
You may cancel your subscription at any time:
Cancellations take effect at the end of the current billing period. Refunds for app store purchases are subject to Apple's or Google's refund policies.
The Nuggzy mobile app may request the following permissions:
You can manage these permissions at any time through your device settings.
You retain ownership of content you create ("Nuggets"). By posting content, you grant Nuggzy a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content in connection with the Service.
You agree not to post content that:
Nuggzy creates references to YouTube videos but does not host video content. You are responsible for ensuring you have the right to create Nuggets from any YouTube video. All YouTube content is subject to YouTube's Terms of Service.
The Service, including its design, features, and functionality, is owned by Nuggzy and is protected by copyright, trademark, and other intellectual property laws.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUGGZY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO NUGGZY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Nuggzy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
The Service integrates with third-party services including YouTube, Stripe, Apple, and Google. Your use of these services is subject to their respective terms and conditions. Nuggzy is not responsible for third-party services.
We reserve the right to modify or discontinue the Service at any time without notice. We may also modify these Terms at any time. We will notify you of material changes through the app or by email. Continued use of the Service after changes constitutes acceptance of the modified Terms.
These Terms shall be governed by the laws of Georgia, United States, without regard to conflict of law provisions.
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court, except that you may assert claims in small claims court if they qualify.
You agree that any arbitration or proceeding shall be limited to the dispute between you and Nuggzy individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms constitute the entire agreement between you and Nuggzy regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
